Purpose:
  • Subject to the Board’s authority under the Business Corporation Act to manage or supervise the management of the business and affairs of its corporations, and to provide the Board with the Shareholder’s expectations relating to the principles of governance and other fundamental principles and policies regarding the business.
  • To inform the residents of the City of Welland of the Shareholder’s fundamental principles regarding the Business; and
  • To set out the accountability, responsibility and relationship between the Board and the Shareholder.
Mandate/Terms of Reference:

By-law No. 1 Welland Hydro-Electric Holding Corp. (amended and restated, approved Dec. 6, 2005).

2011 Shareholder Declaration (approved at the June 14, 2011 Annual Shareholder Meeting) authorized by City of Welland By-law 2001-159 amended by By-laws 2004-173, 2008-165, 2009-190, and 2011-105.
Meeting Schedule: Typically the 3rd Wed. of each month, but no meeting in January, July, or August. Also an Annual Meeting. *(Please call Welland Hydro for times and dates). Meeting Time: Typically, 4:00 p.m.
